Terms of Service

1. Agreement to terms

By creating an account and using DriveInstruct ("the Service"), you agree to these Terms of Service. If you do not agree, do not use the Service. These terms form a legally binding agreement between you and Nimble Panda Ltd (trading as DriveInstruct), a company registered in England and Wales.

2. Description of service

DriveInstruct is a software platform that helps driving instructors and driving schools manage lesson bookings, student records, payments, and communications. The Service is provided on a subscription basis.

3. Your account

You are responsible for:

• Maintaining the confidentiality of your password
• All activity that occurs under your account
• Ensuring the information you provide is accurate and up to date
• Notifying us immediately of any unauthorised use of your account

You must be at least 18 years old to use the Service.

4. Subscription and payment

DriveInstruct is offered on a subscription basis. By subscribing:

• Paid plans are charged from the day you subscribe. A payment method is required at signup and your first month is charged immediately
• Promotional offers are alternatives, not additions: where a discounted founding rate applies, no free trial period applies, and vice versa
• You authorise us to charge your payment method on a recurring monthly basis
• Subscriptions automatically renew unless cancelled before the renewal date
• You can cancel at any time — access continues until the end of the paid period
• We do not offer refunds for partial months, except under the enquiry guarantee below
• We reserve the right to change pricing with 30 days notice

Payments are processed securely by Stripe. DriveInstruct does not store your card details.

4a. Enquiry guarantee

If you subscribe to the Pro plan and receive no student enquiries through the DriveInstruct marketplace during your first 12 months of paid subscription, we will refund the subscription fees you have paid for that period in full. To qualify:

• Your marketplace listing must have been enabled and publicly visible for the whole of the 12-month period, with a location area set
• The 12 months are counted from the first paid charge
• An "enquiry" means a student enquiry recorded against your profile in your DriveInstruct dashboard. If your dashboard shows one or more enquiries, the guarantee does not apply
• You must request the refund by emailing hello@driveinstruct.co.uk within 30 days of the 12-month period ending
• The refund covers Pro subscription fees only. It does not cover messaging credit top-ups, featured-listing purchases, or Stripe transaction fees on payments you have received
• The guarantee applies once per school and does not apply to accounts suspended for breach of these terms

Refunds are issued to the original payment method where possible. Where the payment provider no longer permits a refund to that method, we will pay by bank transfer instead.

4b. Founding-member pricing

The first 10 schools to subscribe to the Pro plan pay a founding-member rate of £5 per month instead of the standard £10, and that rate is locked for as long as the subscription remains continuously active, including after the standard price rises. If the subscription is cancelled and later restarted, the founding rate no longer applies and the standard price at that time will be charged. Founding-member slots are allocated in the order subscriptions are completed, and the offer ends once all 10 are taken. A cancelled founding subscription does not return its slot to the pool.

5. Student data and GDPR

When you use DriveInstruct to store information about your students, you are the Data Controller under UK GDPR and the Data Protection Act 2018. DriveInstruct acts as the Data Processor. This means:

• You are responsible for having a lawful basis to collect and store student data
• You are responsible for informing students how their data is used
• You must respond to any subject access requests from your students
• You must not store data you are not permitted to hold

DriveInstruct processes student data solely to provide the Service to you and will not use it for any other purpose.

6. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose
• Upload or transmit any harmful, offensive, or misleading content
• Attempt to gain unauthorised access to any part of the Service
• Resell or sublicense the Service without written permission
• Use automated tools to scrape or extract data from the Service

7. Intellectual property

DriveInstruct and its content, features, and functionality are owned by Nimble Panda Ltd and are protected by copyright and other intellectual property laws. Your student data remains your property at all times.

8. Service availability

We aim to maintain 99.9% uptime but do not guarantee uninterrupted access to the Service. We may temporarily suspend the Service for maintenance. We are not liable for any losses arising from downtime.

9. Limitation of liability

To the maximum extent permitted by law, Nimble Panda Ltd shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service. Our total liability shall not exceed the amount you have paid in subscription fees in the 12 months prior to the claim.

10. Termination

We reserve the right to suspend or terminate your account if you violate these terms. You may terminate your account at any time. Upon termination, your data will be retained for 30 days and then permanently deleted.

11. Changes to these terms

We may update these terms from time to time. We will notify you by email at least 14 days before any material changes take effect. Continued use of the Service after changes constitutes acceptance of the new terms.

12. Governing law

These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
